The legal agreement governing your use of the MLPipeLab platform and website.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and MLPipeLab, Inc. ("MLPipeLab," "we," "us," or "our"), a corporation organized under the laws of the State of Washington, with its principal place of business at 220 Terry Ave N, Seattle, WA 98109.
By accessing our website at mlpipelab.com, creating an account, subscribing to any of our plans, or using any part of the MLPipeLab platform, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" and "your" will refer to that entity.
If you do not agree to these Terms, you must not access or use our services. Your continued use of the services following any modification of these Terms constitutes your acceptance of the modified Terms.
These Terms incorporate our Privacy Policy and Cookie Policy by reference. In the event of a conflict between these Terms and any order form, statement of work, or other document, these Terms will control unless expressly superseded by a written agreement signed by an authorized representative of MLPipeLab.
MLPipeLab provides a software-as-a-service (SaaS) data pipeline automation platform designed for logistics and supply chain operations. The platform enables customers to connect warehouse management systems (WMS), transportation management systems (TMS), enterprise resource planning systems (ERP), and carrier electronic data interchange (EDI) feeds through a managed integration layer that normalizes, validates, and delivers data to customer-specified destinations.
Subject to the subscription plan you have selected and paid for, the MLPipeLab platform includes: pre-built connectors for supported source systems, an ML-assisted schema reconciliation engine, configurable pipeline scheduling and monitoring, anomaly detection and drift alerting, and delivery of normalized data to supported destination systems (including Snowflake, BigQuery, Amazon Redshift, and self-hosted PostgreSQL instances).
MLPipeLab reserves the right to modify, enhance, or discontinue any feature or functionality of the platform with reasonable notice. For material reductions in service functionality, we will provide at least 30 days advance notice. We will provide at least 90 days notice before discontinuing the platform entirely. Feature additions do not require advance notice.
We may offer beta or preview features that are not yet generally available. Beta features are provided "as is" without warranty of any kind, may be discontinued at any time without notice, and are excluded from service level commitments. Your use of beta features is at your sole discretion and risk.
We target 99.5% monthly uptime for the MLPipeLab platform, measured as the percentage of minutes in a calendar month during which the platform is available for pipeline execution and monitoring. Scheduled maintenance windows (with at least 48 hours advance notice) and outages caused by factors outside our reasonable control (including third-party system failures, carrier network outages, or force majeure events) are excluded from uptime calculations. Specific service level commitments for paid plans are detailed in the applicable plan documentation.
To use the MLPipeLab platform, you must create an account by providing accurate, current, and complete information, including a valid business email address, your full name, your company name, and a secure password. You agree to maintain and update this information to keep it accurate and current.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at hello@mlpipelab.com if you suspect any unauthorized access to your account or any other breach of security. MLPipeLab cannot be held liable for any loss or damage arising from your failure to maintain the security of your account credentials.
Our services are intended for business use by organizations and individuals acting in a commercial capacity. You represent that you are at least 18 years of age and have the legal authority to enter into these Terms. Our services are not intended for personal, family, or household use.
Each account is associated with one organization. You may create multiple user seats within your organization's account, subject to the limits of your subscription plan. You may not share account credentials with parties outside your organization or create accounts for the purpose of circumventing subscription plan limits.
MLPipeLab offers subscription plans as described on our pricing page at mlpipelab.com/price.html. Plan features, connector limits, pipeline volume limits, and pricing are subject to change with 30 days advance notice for existing subscribers. New plan pricing applies immediately to new subscriptions.
All fees are stated in US Dollars (USD) and are exclusive of applicable taxes unless stated otherwise. You authorize MLPipeLab to charge the payment method on file for the subscription fees corresponding to your selected plan, billed on a monthly or annual basis as elected at the time of subscription.
Monthly subscriptions are billed on the same day each calendar month corresponding to your subscription start date. Annual subscriptions are billed on the anniversary date of your subscription start. If a billing date falls on a day that does not exist in a given month (e.g., the 31st in a 30-day month), billing occurs on the last day of that month.
If payment fails on the scheduled billing date, we will retry the charge up to three times over 7 days. If payment is not received within 14 days of the original billing date, we may suspend your access to the platform until payment is received. If payment is not received within 30 days, we may terminate your subscription and delete your account data in accordance with the data retention schedule described in our Privacy Policy.
You are responsible for all taxes, levies, duties, or similar government assessments associated with your use of the platform, excluding taxes based on MLPipeLab's income. If MLPipeLab is required to collect sales tax, VAT, or equivalent taxes in your jurisdiction, such taxes will be added to your invoice.
For monthly subscriptions, we do not provide prorated refunds for cancellations made mid-billing period. Your access continues through the end of the paid period. For annual subscriptions, refunds are available on a prorated basis for unused months if you cancel within the first 30 days of the annual billing period. No refunds are available after 30 days on annual subscriptions.
Exceptions may be made at MLPipeLab's discretion in cases of service outages that significantly impair platform functionality for extended periods. Such exceptions are handled through our support team on a case-by-case basis.
You may upgrade your subscription plan at any time. Upgrades take effect immediately and are prorated for the remainder of the billing period. Downgrades take effect at the start of the next billing period. Plan changes must be made through your account settings or by contacting our support team.
The MLPipeLab platform, including all software, algorithms, user interfaces, documentation, trademarks, and service marks, is the exclusive property of MLPipeLab, Inc. and is protected by US and international intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for your internal business purposes and in accordance with these Terms.
You may not copy, modify, reverse engineer, decompile, disassemble, or create derivative works based on the platform or any part of it. You may not sublicense, sell, resell, transfer, assign, or otherwise commercially exploit or make available to any third party the platform or your access to it, except with our express written consent.
You retain all ownership rights to your data — including the logistics and supply chain data that flows through the MLPipeLab platform, your system credentials, your pipeline configurations, and any custom mapping rules you define. You grant MLPipeLab a limited license to process your data solely as necessary to operate and improve the platform services you have subscribed to.
MLPipeLab does not claim ownership of your data. We do not use your operational logistics data for training machine learning models or for any purpose other than operating the service for you, except as aggregated, anonymized operational metadata described in our Privacy Policy.
If you provide suggestions, ideas, or feedback about the platform ("Feedback"), you grant MLPipeLab a perpetual, irrevocable, royalty-free license to use and incorporate the Feedback into the platform and related products without restriction or compensation to you. Feedback is provided voluntarily and without expectation of compensation.
You agree to use the platform only for lawful purposes and in accordance with these Terms. You agree not to use the platform to:
Each party may have access to confidential information of the other party in connection with these Terms. "Confidential Information" means any non-public information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
Each party agrees to protect the other party's Confidential Information with the same degree of care it uses to protect its own confidential information (but no less than reasonable care), not to use the other party's Confidential Information except as necessary to fulfill obligations under these Terms, and not to disclose the other party's Confidential Information to third parties without prior written consent, except as required by law or legal process (with reasonable advance notice where permitted).
Confidential Information does not include information that: (i) is or becomes publicly known other than through breach of this obligation, (ii) was already known to the receiving party before disclosure, (iii) is independently developed by the receiving party without use of the Confidential Information, or (iv) is disclosed to the receiving party by a third party under no obligation of confidentiality.
THE MLPIPELAB PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MLPIPELAB DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE; AND WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
MLPipeLab does not warrant the accuracy, completeness, or timeliness of any data processed through the platform, including any schema reconciliation suggestions or field mapping recommendations. You are responsible for validating the accuracy of data output from the platform before relying on it for operational or financial decisions.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MLPIPELAB, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF MLPIPELAB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL MLPIPELAB'S AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO MLPIPELAB IN THE 12-MONTH PERIOD PRECEDING THE CLAIM, OR (B) USD $500.
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU IN FULL.
You agree to indemnify, defend, and hold harmless MLPipeLab and its officers, directors, employees, affiliates, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the platform in violation of these Terms, (b) your violation of any applicable law or regulation, (c) your violation of any third party's rights, including intellectual property rights, or (d) your breach of any representation or warranty made in these Terms.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period (monthly or annual, as applicable). You will retain access to the platform through the end of the paid period. No refunds are provided for the unused portion of a billing period except as described in Section 4.5.
MLPipeLab may terminate your account and access to the platform immediately, without prior notice, if: (a) you materially breach these Terms and fail to cure the breach within 10 business days of written notice, (b) you become insolvent, make an assignment for the benefit of creditors, or enter into bankruptcy proceedings, (c) your use of the platform creates a security risk or legal liability for MLPipeLab or other customers, or (d) continued provision of service is prohibited by applicable law.
Upon termination, your license to use the platform immediately terminates. You may request an export of your configuration and pipeline metadata within 30 days of termination. After 30 days, your data will be deleted in accordance with the retention schedule in our Privacy Policy. Provisions of these Terms that by their nature should survive termination will survive, including Sections 5, 7, 8, 9, 10, 12, and 13.
These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. You and MLPipeLab agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in King County, Washington for the resolution of any disputes arising under these Terms.
Before initiating formal legal proceedings, you agree to attempt to resolve any dispute by contacting us at hello@mlpipelab.com and engaging in good-faith negotiation for at least 30 days. This requirement does not apply to requests for emergency injunctive or other equitable relief.
YOU WAIVE ANY RIGHT TO A JURY TRIAL IN ANY PROCEEDING ARISING UNDER THESE TERMS, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
These Terms, together with the Privacy Policy, Cookie Policy, and any applicable order forms or subscription agreements, constitute the entire agreement between you and MLPipeLab with respect to the subject matter hereof and supersede all prior agreements, representations, and understandings.
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.
The failure of MLPipeLab to enforce any provision of these Terms will not be construed as a waiver of that provision or any other provision. No waiver of any provision of these Terms will be effective unless in writing and signed by an authorized representative of MLPipeLab.
You may not assign or transfer these Terms or any of your rights or obligations under them without MLPipeLab's prior written consent. MLPipeLab may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, upon notice to you.
MLPipeLab will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, acts of war or terrorism, labor actions, government orders, widespread internet outages, or failures of third-party systems and infrastructure.
Notices to you under these Terms will be sent to the email address associated with your account. Notices from you to MLPipeLab should be sent to hello@mlpipelab.com or by certified mail to MLPipeLab, Inc., 220 Terry Ave N, Seattle, WA 98109.
